MEMBERSHIP

Terms of Membership.

1. Must be 18 years of age or older, or 13 years of age or older with parental permission.
2. Must provide valid and truthful information at all stages of membership at InstantProfitz.
3. Must be from the United States of America, Canada, the United Kingdom (including Great Britain, Ireland and Scotland), Germany, France, Belgium, Australia or New Zealand.
4. May not create more than one account per person, household or computer, unless granted written permission.
5. May not utilize a proxy or other method of hiding location.

Terms of Disqualification. Account may be deactivated and earnings forfeited if, at InstantProfitz's discretion:

1. User violates any of these Terms of Service.
2. User posts unwelcome links (spamming).
3. User attempts to exploit system vulnerabilities (hacking).
4. User commits actions that InstantProfitz determines to be detrimental to the stability of this site or this site's relationship with advertisers.
5. User posts a walkthrough or guide to completing or cancelling offers or any other suggestion to take undue advantage of any advertiser, on a public website or forum or privately to their referrals.
6. User completes offers "on behalf" of another user.
7. User attempts to sell, transfer or exchange their account or credits on their account to other persons.

Deactivation and Reactivation of Membership.

1. Account deactivation may be managed through user accounts.
2. Upon deactivation, all credits are forfeited and cashout requests removed.
3. Accounts may be reactivated at any time.
4. If inactive for 12 months, accounts will automatically deactivate.

Signup Bonus. To qualify for the Signup Bonus, users must:

1. Have a valid email and mailing address.
2. Complete their user profile.
3. Maintain all membership requirements through their first cashout.

Username and Password.

1. Each user has a unique Username. Users are responsible for keeping their Username and Password confidential and secure, and are responsible for all actions taken on their account using their Username and Password.

Representations of Membership. You agree:

1. That all information you have provided to IP and to other entities during your usage of the IP service and website is accurate and current.
2. That you have the full authority and rights to use such information to perform all acts required of you during usage of this service, in compliance with local/national/international law.
3. To these Terms of Services, and all terms and conditions of the Privacy Policy as a condition to using InstantProfitz, including any updates which may occur at the sole discretion of InstantProfitz. All updates will be posted on this website. Failure of InstantProfitz to enforce these terms do not constitute a waiver.
4. That you are responsible for all consequences of your actions on this site.
5. That You and InstantProfitz are independent contractors as to one another. You are not InstantProfitz's agent or employee for any purpose and shall not hold yourself out as InstantProfitz's agent or employee.

Referrals

Conditions.

1. A "Referral" is considered to be any user that signs up successfully using another user's referral link.
2. Must be unique persons that have not been signed up on their behalf by others.
3. Must meet all terms of membership at all times.
4. Users are responsible for the overall quality of their referrals.
5. Falsification of referrals may lead to account disqualification, forfeiture of earnings and any applicable legal remedy.
6. False advertising, including making untrue or exaggerated statements about InstantProfitz's service, is forbidden. If the user provides any information about our service on their website, the information must be updated and accurate.

Terms of Referral Earnings.

1. Referral rewards are earned once referrals reach site minimums and cash out successfully.
2. All rewards are posted automatically.
3. Minimum reward is 10% of the referral's earnings for first level referrals, and 2% for second-level referrals.
4. Referrals who net over $100 in one month will provide rewards of 15% of the referral's earnings for first level referrals, and 3% for second-level referrals.
5. Referrals who net over $250 in one month will provide rewards of 20% of the referral's earnings for first level referrals, and 5% for second-level referrals.

Offers

Conditions of Credit.

1. InstantProfitz is solely responsible for crediting of offers, and reserves the right to adjust offer descriptions and commission rates at any time for any reason. Do not contact advertisers regarding offer credit.
2. User may only complete an offer if they have never completed the offer before or been a customer of the advertiser previously, whether through InstantProfitz or other means. This does not apply for Shopping Cashback offers, whose terms appear below.
3. Users must provide valid and truthful information in order to complete offers. Any falsification of user information will lead to account disqualification, earnings forfeiture and any applicable legal remedy.
4. Users must have a legitimate interest in offers they complete. Users will be penalized if found to be violating this provision, under InstantProfitz's sole discretion. InstantProfitz considers high levels of cancellation to be evidence that a user does not have a legitimate interest in the offers.

Conditions of Manual Credit.

1. Though InstantProfitz utilizes industry standard tracking software, offers may occasionally fail to credit. InstantProfitz does not guarantee payment for any offers that fail to credit, or for manual credit requests that have been submitted.
2. If an offer fails to credit, users may request manual credit through the support ticket system. A valid confirmation email must be provided for the offer in question. If possible, InstantProfitz will work with users and advertisers to querty these missing credits.
3. Manual credit requests may take several weeks to be confirmed.

Liabilities.

1. InstantProfitz cannot be held responsible for the terms, conditions, or any other contractual agreement of the offers listed on the site. We suggest that all items associated with each offer be read, completely and carefully, before offer completion. All decisions to purchase products and services, sign up for trials and exchange money for whatever purposes are your sole responsbility, and InstantProfitz cannot be held responsible for any of your actions committed on other sites.
2. InstantProfitz shall not be held liable at any time for any other results stemming from use of your account, including, but not limited to, termination and suspension of customer accounts and profiles elsewhere, information dissemination, litigation and its costs and consequences, and any other consequences of every kind and nature.
3. Advertisers may change the Terms of an offer without notifying us. In such an event, InstantProfitz makes no guarantee on the accuracy of the offer descriptions listed.
4. InstantProfitz is not responsible for any additional incentives provided on offers, such as gift cards, free gas, etc. Any inquiries regarding these additional incentives should be directed to the Advertisers.

Payments

Account.

1. Cash earned for successfuly completing offers will accrue in a User's balance, subject to the User's compliance with these Terms of Service. The User's account and balance is non-transferable and non-assignable.
2. If the User have been credited for an offer and the offer is later reversed, the corresponding amount will be subtracted from the their balance.

Conditions of Payment.

1. InstantProfitz is solely responsible for all payments. Do not contact advertisers regarding payments.
2. Disbursements occur on or around the 20th of each month for the previous month's earnings, in US dollars.
3. Users agree to allow up to 2 additional weeks for checks to be delivered by the US Postal Service.
4. Users are responsible for redeeming their cashouts. Cashouts may only be redeemed if the cashout minimum is achieved ($20, or TWENTY DOLLARS) and the user has not violated any of these terms of services. Balances not cashed out will rollover into the next month. Users have no right to redeem the balance in their account, and we have no liability or obligation to pay you until you have accrued the cashout minimum. Your balance will be reduced by the value of the payment, whenever a payment is successfully made.
5. No payment substitutions, assignments or transfers will be considered, except by InstantProfitz. InstantProfitz will make a reasonable effort to alert users if a substitution will be made.
6. Users are responsible for maintaining correct payment information. InstantProfitz is not responsible for any lost or stolen mailings or payments if the communication was sent to the Account information on file at the time the mailing or payment was sent.

Specific Conditions.

1. Fees are listed on the cashout information pages.
2. Users earning over $600 during a calendar year must submit a completed W-9 form to InstantProfitz before payments may continue.
3. Users are responsible for any and all tax liability arising from or associated with their use of InstantProfitz, including any liabilities arising from their earnings on this site.

General Terms

Copyrights and Trademarks.

1. All content, materials, images and other items ("Materials") accessed through this website belong to InstantDollarz, its third party licensors or third part Advertisers. Users may download or print one copy of the Materials for personal, non-commercial use, with inclusion of all copyright notices.
2. The Materials are protected by United States and foreign copyright laws. Any commercial usage of these Materials is in violation of those laws and are punsihable as such. In such a case, InstantProfitz revokes the User's right to use the Materials and all copies in the User's possession should be destroyed. All right, title and interest to the Materials remains with instantDollarz. All rights not expressly granted are reserved.
3. Any communications with InstantProfitz or on the forums by any means will be considered non-personal, non-confidential and non-proprietary. You hereby grant InstantProfitz and any sublicensees perpetual, worldwide, royalty-free, unrestricted, irrevocable license to use, reproduce, display, perform, modify, create derivative or collective works, transmit and distribute these Postings and Messages, and agree that InstantProfitz is free to use such Postings and Messages for any purpose and in any medium.
4. If any posting on the website is in violation of copyright or some other proprietary right of a third party, please notify us immediately. Specific identification of the offending materials and identification of the true owner is required so that we may take appropriate action.

Representations.

1. The InstantProfitz website and offers exist on an as is and an as available basis. InstantProfitz claims no responsibility or liability for the reliability of the service, including timeliness, availability or security. Additionally, InstantProfitz reserves the right to make any changes to the status and content of the service or website for whatever reason at any time, with or without notice, and without any liability to InstantProfitz.
2. At no time shall InstantProfitz have a commitment toward any user. InstantProfitz may terminate the service for any or all users at its discretion, for any or no reason, at any time, without any notice. InstantProfitz shall remain in a state of non-committance after termination of the service. InstantProfitz also retains the right to discontinue the Service and remain without commitment toward any past user from any previous period or periods of Service availability or suspension. In the event that InstantProfitz discontinues their service, users will have 30 (THIRTY) days in which to redeem their balance.
3. InstantProfitz takes no responsibility for any content on other sites, including viruses, spyware, or other disabling features. InstantProfitz has no responsibility or obligation to monitor such content. InstantProfitz reserves the right to distribute or withhold information on such content - and its own content - at InstantProfitz's sole discretion.
4. InstantProfitz reserves the right to deny payments for any legitimate reason and to report fraudulent activities to the proper authorities. InstantProfitz also retains the right to send periodic update emails, which will be strictly controlled and in accordance with CAN-SPAM laws.
5. All disputes under this agreement must be settled under the laws of Delaware. Any litigation relating to this document must be brough in the federal and state courts located in Delaware.

Indemnification and Severability.

1. You agree to hold harmless and indemnify InstantProfitz, its affiliates, agents and all members from and against any third party claim arising from or in any way related to your use of the Service, including, but not limited to, any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
2. In no event shall InstantProfitz, a Delaware Corporation, be liable for any indirect, consequential, incidental, special, punitive or other damages whasoever (including, without limitation, damages for loss of business profits, business interruption or loss of business information), arising out of or in connection with the availability, performance or use of the information contained on this website, even if InstantProfitz has been advised of the possibilites of such damages.
3. If any part of the Terms is found to be invalid, illegal, void or otherwise unenforceable, that decision shall not affect the remaining provisions within this document. These shall remain valid and enforced. Headings used within this document are for convenience and shall not be used to construe any claims against any of the provisions within these Terms.

Referrals

1. There is no referral bonus or referral program for Shopping.InstantProfitz.com. As this is a free service included in membership with InstantProfitz.com, all referral programs only exist with InstantProfitz.com and not its sub-services.

Offers

1. Users may automatically earn rebates for shopping at participating merchants, as listed on Shopping.InstantProfitz.com.
2. Certain items or services offered by a merchant may not be eligible for cashback without prior warning to InstantProfitz; we are not responsible for cashback for those items or services.

Payments

1. Cash back for shopping with Shopping.InstantProfitz.com is subject to adjustments for returns and cancellations. If you return or cancel a product or service to a participating merchant, you are no longer eligible for the cash rebate.
2. We will not reconsider adjustments or request for adjustments if a return or cancellation has been made for the product or service in question.
3. Payments from certain merchants may be delayed up to 30 extra days, pending merchant review - these will be indicated on their merchant page.
